SPICA Terms of Service and End User License Agreement

Welcome to SPICA!
These Terms of Service and End User License Agreement ("Terms") govern your use of SPICA, our AI-powered avatar generation and social networking platform (the "Services").
By creating an account or using SPICA, you agree to these Terms and our Privacy Policy. We may update these Terms from time to time and will notify you of material changes.
1. Eligibility and Account Registration
1.1 Age Requirements
You must be at least 13 years old, or the minimum digital consent age in your country of residence (e.g., 14 in South Korea, 16 in certain EU countries), whichever is higher. If you are under the age of majority, you represent that your parent or legal guardian has reviewed and agreed to these Terms.
1.2 Account Responsibility
You agree to:

Provide accurate and complete registration information
•
Keep your login credentials confidential and secure
•
Be solely responsible for all activities under your account
•
Not create multiple accounts, share accounts, or transfer accounts
2. AI Avatar Generation
2.1 Image Processing Purpose
When you upload images to create AI avatars:
•
Images are processed solely to generate your personalized avatar
•
We do NOT use your images for personal identification, biometric recognition, or identity verification
•
We do NOT use your images to track you across services
2.2 Automatic Deletion of Original Images
•
Original uploaded images are automatically and permanently deleted from our servers immediately upon completion of avatar generation
•
Only the generated avatar model is retained in your account
2.3 No AI Training Without Separate Consent
•
Unless you provide separate, explicit consent, your uploaded images are NOT used to train, improve, or develop our AI models
•
We do not sell or license your images to third parties for model training
2.4 Your Responsibilities
You represent and warrant that:
•
You have all necessary rights to upload and use any images
•
You will not upload images of others without their explicit consent
•
Your images do not contain illegal content or violate third-party rights
3. Real-Time Communications
3.1 No Company Recording Policy
Anchor Node does NOT record, store, or monitor the content of your real-time audio or video communications. Live broadcasts and voice chats occur directly between users without company recording.
3.2 User-Driven Reporting
•
You are responsible for capturing evidence (screenshots, recordings) if you wish to report violations
•
Any evidence you submit is used solely for investigating the reported issue
•
Evidence is retained only as long as necessary, then permanently deleted
•
You must comply with local laws regarding recording communications
4. User-Generated Content
4.1 Ownership and License
You retain ownership of your User Content. By posting content, you grant us a worldwide, non-exclusive license to:
•
Host, store, and display your content within the Services
•
Use your content to operate and improve the Services
•
Make technical modifications necessary for service functionality
We will NOT use your content in external marketing without separate consent.
4.2 Content Standards
Your User Content must not:
•
Violate any laws or third-party rights
•
Contain sexually explicit, violent, or harmful material
•
Constitute harassment, hate speech, or bullying
•
Include personal information of others without consent
5. Community Guidelines and Prohibited Conduct
You agree NOT to:
•
Harass, bully, or threaten other users
•
Create or share sexually explicit content involving minors
•
Use AI avatars to create deepfakes or impersonate others for harmful purposes
•
Spam, phish, or engage in fraudulent schemes
•
Use bots, automation, or scripts to manipulate the Services
•
Attempt unauthorized access to accounts or systems
We may remove content, restrict features, or terminate accounts for violations.
6. Virtual Currency and Digital Items
Virtual currency and digital items ("Virtual Goods"):
•
Have no real-world monetary value
•
Are licensed to you, not sold
•
Cannot be transferred or traded outside the Services
•
All purchases are final and non-refundable, except as required by law
7. Intellectual Property
The Services, including software, AI models, designs, and trademarks, are owned by Anchor Node and protected by intellectual property laws. You are granted a limited license to use the Services for personal, non-commercial purposes.
8. Disclaimers and Limitation of Liability
8.1 "As Is" Service
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee that AI-generated content will always be accurate or appropriate.
8.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, our total liability is limited to the greater of $100 USD or amounts you paid us in the preceding 12 months.
9. Indemnification
You agree to indemnify Anchor Node from claims arising from your use of the Services, your User Content, or your violation of these Terms.
10. Termination
10.1 By You
You may delete your account at any time. Upon deletion, you lose access to all account data and Virtual Goods.
10.2 By Us
We may suspend or terminate accounts for Terms violations, illegal activity, or service discontinuation.
11. Governing Law and Disputes
These Terms are governed by California law. Disputes will be resolved through binding arbitration for US users, or in courts of competent jurisdiction for international users, subject to applicable consumer protection laws.
12. Region-Specific Provisions
12.1 European Union and United Kingdom
Mandatory consumer protection laws of your country apply and take precedence over conflicting provisions.
12.2 South Korea
The minimum age is 14. Consumer protection regarding virtual goods follows Korean Electronic Commerce Act.
12.3 United States
California law governs. You agree to comply with all applicable federal, state, and local laws.
13. General Provisions
13.1 Language
These Terms are originally written in English. In case of conflict with translations, the English version prevails.
13.2 Updates
We may update these Terms with notice. Continued use constitutes acceptance.
